Attend the Monthly Board Meetings - Owners Welcome! 

Our Board of Directors consists of nine directors elected by our owners to help guide the direction of our co-op. We value transparency and community input. That’s why all Owners are welcome to attend our monthly Board meetings. Each meeting includes 10 minutes for open Owner comments or questions, giving you a direct voice in the decisions that impact our store. 

Meetings are held on the fourth Wednesday of every month, from 6:30 pm to 8:30 pm,

You may attend a Board Meeting in-person at 425 E 7th St, Tucson, AZ 85705 or virtually (see button below for joining via Zoom).

For those joining in person, a light dinner will be served beginning at 6:00 PM. As a thank you for attending, either in person or virtually, Owners will receive two 5% off shopping coupons, valid for one month after the meeting.

If you’re passionate about shaping the future of our co-op, running for the Board is a meaningful way to get involved. Every spring we offer owners the opportunity to apply to run in our annual election for Board of Directors.

Food Conspiracy Co-op Board Candidate Application

To become a candidate for a position on the Board of Directors, a person must:

  • Be over the age of 18.

  • Be a primary or secondary Owner of the Co-op for at least 6 months prior to the Date of the Annual Meeting.

  • Have no conflict of interest with the Co-op.

  • Submit a complete application.

  • Be nominated by the Board’s approval of this application or by submitting a petition to the Board signed by at least 25 owners.

  • Participate in at least two regular board meetings before the deadline for submitting applications or complete an approved alternative introduction to Board work.

What is the Board of Directors and what does it do?
The Board of Directors is the governing body of the Co-Op. Our primary responsibilities are to protect the interests of owners (fiduciary responsibility), Guide the Co-Op's long-term vision by overseeing the operations and finances of the Co-op through policy governance to guide operational decisions, engaging a general manager by monitoring and evaluating their performance, securing good conditions of employment and reasonable employee benefits, and assuring that the purpose and mission of the Co-op are properly carried out.  

What is "Fiduciary responsibility"?
A legal and ethical obligation to act in the best interests of another person or entity with the highest level of trust and ethical conduct. Their primary duty is to act solely for the benefit of the person or organization they represent including:

  • Duty of Loyalty: Putting the Co-Op's interests above their own.  

  • Duty of Care: Acting with prudence and diligence.  

  • Duty of Good Faith: Acting honestly and transparently.  

  • Duty of Obedience: Follow the terms of the governing documents and applicable laws.

  • Duty of Confidentiality:  Protect the confidentiality of sensitive information 

  • Duty of Prudence: Risk management and making decisions with caution.

  • Avoiding Conflicts of Interest: Not engaging in activities that could compromise the interests of the Co-Op.

How much time should I expect to commit to serving on the board?
Elected Directors serve a 2 or 3 year term according to the number of votes received.  All Directors spend at least approximately 8-12 hours per month working closely and cooperatively with other Directors and Staff and investing the necessary time and energy to accomplish the Board's 5 Year Strategic Plan. Such activities include:

  • Attendance of regular Board meetings of approximately two hours in duration.  The regular board meetings are scheduled for ten months of the year except for May and December (or, as otherwise approved by the board as a part of the Board Annual Schedule).

  • Prepare for regular and special Board meetings, including development of documentation and reports, participation in email correspondence, phone conversations, and committee meetings which may be conducted in-person and/or virtually.

  • Serve on at least one committee, consider accepting an officer’s role on the Board and participate in some special Co-op events throughout the year.

  • Attend and support the planning of the Annual General Meeting.

What compensation is there for serving on the Board of Directors?
In recognition and appreciation of service to our community, All Directors receive a 15% store discount.  Directors also receive a monthly stipend (Directors: $175; Officers: $225)
